C&rsquo;est un patrimoine relativement peu liquide, qui g\u00e9n\u00e8re des loyers et donc des revenus fonciers et dont ils ne veulent pas forc\u00e9ment se s\u00e9parer. Il s&rsquo;agit \u00e9galement d&rsquo;un patrimoine tr\u00e8s tax\u00e9, qu&rsquo;ils s&rsquo;agissent des revenus fonciers soumis \u00e0 l&rsquo;imp\u00f4t, sur le revenu ou sur les soci\u00e9t\u00e9s, ou de <a href=\"https:\/\/www.toutsurmesfinances.com\/impots\/taxe-fonciere-mode-d-emploi.html\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>la taxe fonci\u00e8re<\/strong><\/a>, de l&rsquo;imp\u00f4t sur les plus-values immobili\u00e8res, de <a href=\"https:\/\/www.toutsurmesfinances.com\/patrimoine\/c\/fiscalite\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>l&rsquo;imp\u00f4t de solidarit\u00e9 sur la fortune (ISF)<\/strong><\/a> ou encore <a href=\"https:\/\/www.toutsurmesfinances.com\/patrimoine\/a\/le-bareme-des-droits-de-succession-et-de-donation-2015\" target=\"_blank\" rel=\"noopener noreferrer\"><strong>des droits de succession<\/strong><\/a>.<\/p>\n<p>Dans cette configuration, on peut se procurer de la liquidit\u00e9 avec un montage simple qui est la vente \u00e0 soi-m\u00eame. Ce type d&rsquo;op\u00e9ration se r\u00e9alise \u00e0 partir d&rsquo;un patrimoine locatif sup\u00e9rieur \u00e0 500.000 euros, plut\u00f4t aux alentours du million, car il faut pouvoir supporter les co\u00fbts de structure et de banque.<\/p>\n<h2 style=\"text-align: center;\"><span class=\"ez-toc-section\" id=\"%C2%AB_Les_loyers_remboursent_la_dette_sur_quinze_ou_vingt_ans_%C2%BB\"><\/span><em>\u00ab Les loyers remboursent la dette sur quinze ou vingt ans \u00bb<\/em><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><strong>En quoi ce montage cr\u00e9e-t-il de la liquidit\u00e9 pour le propri\u00e9taire ?<\/strong><\/p>\n<p>La vente se r\u00e9alise par l&rsquo;interm\u00e9diaire d&rsquo;une nouvelle soci\u00e9t\u00e9 cr\u00e9\u00e9e \u00e0 dessein. Il peut s&rsquo;agir d&rsquo;une soci\u00e9t\u00e9 civile immobili\u00e8re (SCI) mais aussi d&rsquo;une soci\u00e9t\u00e9 anonyme \u00e0 responsabilit\u00e9 limit\u00e9e (SARL) de famille. Cette cession d&rsquo;un ou plusieurs biens poss\u00e9d\u00e9s par la famille et g\u00e9n\u00e9rant des revenus fonciers pourra \u00eatre l&rsquo;occasion de se procurer des liquidit\u00e9s, au moyen d&rsquo;un emprunt sollicit\u00e9 pour l&rsquo;occasion.<\/p>\n<p>La structure s&rsquo;endette et l&#8217;emprunt doit \u00eatre proportionn\u00e9 aux loyers g\u00e9n\u00e9r\u00e9s par les actifs immobiliers. Ainsi, les loyers vont permettre de rembourser la dette sur une dur\u00e9e de quinze ou vingt ans.<\/p>\n<p><strong>Vous \u00e9voquiez le poids de la fiscalit\u00e9 immobili\u00e8re. La vente \u00e0 soi-m\u00eame est-elle \u00e9galement int\u00e9ressante sur ce plan ?<\/strong><\/p>\n<p>L&rsquo;op\u00e9ration permet de passer de l&rsquo;imp\u00f4t sur le revenu (IR) \u00e0 l&rsquo;imp\u00f4t sur les soci\u00e9t\u00e9s (IS) pour l&rsquo;imposition des revenus fonciers. <strong>Les tranches marginales hautes de l&rsquo;IR sont \u00e0 41 et 45%<\/strong>, auxquelles il faut rajouter les pr\u00e9l\u00e8vements sociaux (15,5%) tandis que le taux de l&rsquo;IS se situe \u00e0 34%. Il y a donc un diff\u00e9rentiel fiscal de 22,5 ou 26,5% pendant la dur\u00e9e de l&#8217;emprunt. Cela signifie que pour 100.000 euros de revenus fonciers, il y a un diff\u00e9rentiel fiscal de 22.500 euros par an [si je suis impos\u00e9 \u00e0 41% \u00e0 l&rsquo;IR, NDLR]. Sur un emprunt de quinze ans, cela repr\u00e9sente 337.500 euros.<\/p>\n<p>De plus, comme il y a moins d&rsquo;imp\u00f4t, vous avez plus d&rsquo;argent pour payer les int\u00e9r\u00eats de la dette mais aussi pour r\u00e9aliser d&rsquo;autres projets ou acheter d&rsquo;autres biens.<\/p>\n<h2 style=\"text-align: center;\"><span class=\"ez-toc-section\" id=\"%C2%AB_Pour_des_biens_qui_ont_vocation_a_rester_dans_la_famille_avec_loption_IS_%C2%BB\"><\/span><em>\u00ab Pour des biens qui ont vocation \u00e0 rester dans la famille avec l&rsquo;option IS \u00bb<\/em><span class=\"ez-toc-section-end\"><\/span><\/h2>\n<p><strong>Est-ce que l&rsquo;op\u00e9ration a des incidences en termes de transmission de patrimoine ?<\/strong><\/p>\n<p>C&rsquo;est justement la troisi\u00e8me optimisation que permet la vente \u00e0 soi-m\u00eame, avec la liquidit\u00e9 et la fiscalit\u00e9. En droit successoral, l&rsquo;assiette des droits de donation ou de succession est calcul\u00e9e sur l&rsquo;actif net : en d&rsquo;autres termes, si j&rsquo;ai un actif d&rsquo;une valeur d&rsquo;un million d&rsquo;euros et un passif de 800.000 euros, avec l&rsquo;endettement g\u00e9n\u00e9r\u00e9 par la vente \u00e0 soi-m\u00eame, mon actif net est de 200.000 euros. En cons\u00e9quence, les droits de succession sont calcul\u00e9s sur 200.000 euros et non pas sur la valeur totale du patrimoine.<\/p>\n<p><strong>La vente \u00e0 soi-m\u00eame pr\u00e9sente-elle des inconv\u00e9nients ?<\/strong><\/p>\n<p>Il existe une contrainte li\u00e9e \u00e0 l&rsquo;option \u00e0 l&rsquo;IS. D&rsquo;une part, elle est irr\u00e9vocable et il est impossible de repasser \u00e0 l&rsquo;IR. D&rsquo;autre part, si tout ou partie du patrimoine immobilier est revendu, la plus-value est impos\u00e9e \u00e0 l&rsquo;IS. Ainsi, le propri\u00e9taire ne b\u00e9n\u00e9ficie pas de <strong>la fiscalit\u00e9 d\u00e9gressive des plus-values immobili\u00e8res<\/strong>.<\/p>\n<p>Surtout, avec l&rsquo;imposition \u00e0 l&rsquo;IS, l&rsquo;amortissement comptable de l&rsquo;actif immobilier est pris en compte dans la valeur v\u00e9nale du bien vendu. Cela veut dire que la fiscalit\u00e9 devient discriminatoire sur la revente, puisque l&rsquo;assiette de plus-value s&rsquo;en trouve augment\u00e9e et l&rsquo;assiette d&rsquo;imposition devient tr\u00e8s significative. L&rsquo;amortissement qui a \u00e9t\u00e9 opportun pendant quinze ans devient terrible, puisque quelque part on le fait payer.
